Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you,” “your,” or “User”) and Nestwing LLC, a limited liability company organized in the United States (“Nestwing,” “we,” “us,” or “our”). They govern your access to and use of the Nestwing website, mobile application, and services (collectively, the “Platform”).

By creating an account, accessing, or using the Platform, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.

1. What Nestwing Is (and Is Not)

1.1 Nestwing is a neutral marketplace and technology platform. We provide an online venue where independent individuals can find and connect with one another for two purposes: (a) Companionship — a traveler (“Companion”) assisting another traveler on a flight or route (for example, an elderly parent, a first-time flyer, or a non-English speaker); and (b) Parcel — a traveler (“Courier”) hand-carrying an item for another person (“Sender”) on a route the Courier is already flying.

1.2 Nestwing is not a party to any agreement between Users. Any arrangement, service, payment expectation, or exchange between a Companion and a Seeker, or between a Courier and a Sender, is solely between those Users. Nestwing is not a party to it, does not supervise it, and is not responsible for it.

1.3 Nestwing is NOT, and does not act as, any of the following:

• a carrier, freight forwarder, courier company, shipping company, logistics provider, or common carrier of goods;
• a customs broker or import/export agent;
• a travel agency, tour operator, or air carrier;
• a medical provider, caregiver, nurse, or healthcare service;
• an employer, principal, or agent of any User. Companions, Couriers, Seekers, and Senders are independent individuals, not employees, contractors, or agents of Nestwing.

1.4 We do not take custody of, transport, inspect, handle, or control any parcel, item, or person. Everything physical happens between Users, off the Platform, and outside our control.

1.5 What we do provide: identity and trust signals, structured search, in-app messaging, reviews, and (when enabled) payment facilitation through a third-party payment processor. These are conveniences to help Users find and coordinate with one another. They are not a guarantee of any User’s identity, conduct, reliability, safety, or the outcome of any arrangement.

2. Definitions

• Companion — a User who offers to accompany or assist another traveler.
• Seeker — a User seeking a Companion for themselves or for a person they are arranging help for (“Traveler”).
• Courier — a User who offers to hand-carry a Parcel on a route they are already traveling.
• Sender — a User who asks a Courier to hand-carry a Parcel.
• Parcel — an item a Sender asks a Courier to carry.
• Trip / Listing — a posting describing a route, dates, and an offered or sought service.
• Request — a booking inquiry made against a Trip.
• Content — anything you submit to the Platform (profile details, messages, reviews, photos, listings).

3. Eligibility

3.1 You must be at least 18 years old and legally able to form a binding contract.

3.2 You must provide accurate, current, and complete information and keep it updated. Impersonation or false information is prohibited and grounds for termination.

3.3 You must complete any verification steps we require (which may include phone verification and, optionally, government-ID verification through our third-party verification provider) before accessing certain features.

3.4 You may not use the Platform if you are barred from doing so under applicable law, or if your account has previously been suspended or terminated.

4. Accounts and Verification

4.1 You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately at support@nestwing.co of any unauthorized use.

4.2 Verification is a trust signal, not a guarantee. Identity verification confirms certain information against documents at a point in time. It does not guarantee that any User is safe, honest, trustworthy, law-abiding, or suitable for any purpose. You are solely responsible for your own decisions about whom to interact with.

4.3 We may, at our discretion and without liability, refuse, suspend, or revoke verification or account access.

5. User Conduct and Acceptable Use

You agree that you will not, and will not permit anyone to:

5.1 General prohibitions.

• Violate any law, regulation, sanction, or third party’s rights;
• Post false, misleading, fraudulent, or deceptive Content;
• Harass, threaten, defame, stalk, discriminate against, or endanger any person;
• Circumvent, disable, or interfere with the Platform’s security, verification, payment, or messaging features;
• Scrape, harvest, or collect other Users’ data except through features we provide;
• Use the Platform to send spam, malware, or unsolicited solicitations;
• Take communications or payments off-platform to evade fees, verification, or safety features (where payments are enabled);
• Create multiple or fake accounts, or transfer your account to another person.

5.2 Companion standards. A Companion must: provide only the general, non-professional assistance described in the Listing; never provide medical, nursing, or professional care; never administer medication; never take custody of a Traveler’s passport, money, or valuables except as reasonably necessary and agreed; and comply with all airline, airport, and government rules.

5.3 Seeker standards. A Seeker must accurately describe the Traveler’s needs and must not request medical, nursing, or professional services. Nestwing is not a substitute for professional caregiving, medical escort services, or airline special-assistance programs, which you should arrange directly with the airline where needed. By submitting a request, a Seeker represents that they are authorized to arrange assistance for the Traveler and to accept these Terms — including the assumption of risk in Section 9 — on the Traveler’s behalf.

5.4 Courier and Sender standards. See the Parcel and Carrier Disclaimer in Section 8, which forms part of these Terms.

5.5 Enforcement. We may investigate and take any action we consider appropriate for a violation, including removing Content, limiting features, suspending or terminating accounts, and reporting to authorities — with or without notice.

6. Reviews, Content, and License

6.1 You retain ownership of your Content. You grant Nestwing a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, reproduce, and distribute your Content solely to operate, improve, and promote the Platform.

6.2 Reviews must be honest, first-hand, and non-defamatory. We use a mutually-blind review system. We may remove Content that violates these Terms but are not obligated to monitor Content.

6.3 You are solely responsible for your Content and represent that you have the rights to submit it.

7. Payments and Fees

7.1 Free service. Nestwing currently operates as a free service. Users do not exchange payment through the Platform, and Nestwing charges no fee. Any value or arrangement between Users is made directly between them and at their own risk.

7.2 Future paid features. Nestwing may introduce paid features in the future. If it does, these Terms will be updated before any such change takes effect, and any fees will be clearly disclosed to you at the time of booking. Payments would be processed by a third-party payment processor (such as Stripe), subject to that processor’s terms, and Nestwing would act only as a payment facilitator — not a bank, money transmitter, or fiduciary, except as expressly required by law.

7.3 Taxes. You are responsible for determining and paying any taxes that apply to amounts you receive.

8. Parcel and Carrier Disclaimer

This Section is critical. Read it carefully. It applies to every Courier and Sender.

8.1 Nestwing is not a carrier. Nestwing does not transport, ship, carry, handle, store, inspect, or take custody of any Parcel. The Platform only helps a Sender and a Courier find and coordinate with each other. The decision to carry, and the actual carriage, is entirely between the Sender and the Courier.

8.2 The Courier and Sender are solely responsible. By posting, accepting, sending, or carrying a Parcel, you agree that you alone are responsible for:

• the contents, packaging, and lawfulness of the Parcel;
• all customs, import/export, declaration, duty, and tax obligations in every country of origin, transit, and destination;
• compliance with all airline, airport, TSA, and government rules on what may be carried and how it must be declared; and
• any loss, damage, delay, theft, seizure, fine, or injury arising from the Parcel.

8.3 Prohibited items. You must never send or carry, and must not request another to send or carry, any item that is:

• illegal to possess, transport, import, or export in any relevant country;
• a controlled substance, drug, or drug paraphernalia;
• currency, monetary instruments, or items intended to evade currency-reporting or anti-money-laundering laws;
• weapons, ammunition, explosives, or hazardous, flammable, radioactive, or dangerous materials;
• counterfeit, stolen, or trademark/copyright-infringing goods;
• perishables, living organisms, or biological/medical materials that violate transport rules;
• commercial goods sent to evade customs, duties, or import restrictions;
• anything the Courier has not been truthfully and fully told the contents of.

8.4 Know your parcel. A Courier should not carry any Parcel they have not personally verified the contents of, and should decline anything they are unsure about. A Sender must fully and truthfully disclose the contents. Misrepresenting contents is a serious violation of these Terms and may be a crime.

8.5 No inspection, no guarantee. Nestwing does not inspect Parcels and makes no representation that any Parcel is safe or lawful. You assume all risk.

8.6 Assumption of risk and release. To the fullest extent permitted by law, you release Nestwing from any claim arising out of a Parcel, its contents, its carriage, or any customs, legal, or governmental consequence. This is a core condition of using the Parcel features.

8.7 Legal compliance and screening. You represent and warrant that you, and any Parcel you send or carry, comply with all applicable export, import, customs, and economic-sanctions laws — including U.S. Office of Foreign Assets Control (OFAC) and Export Administration Regulations and the applicable laws of every country of origin, transit, and destination — and that you are not a sanctioned, denied, or otherwise prohibited party. Nestwing may, at its sole discretion and without liability, screen, refuse, suspend, remove, or cancel any User, Listing, or arrangement, and may report suspected unlawful activity to law enforcement or other authorities.

8.8 No insurance, guarantee, or delivery promise. Nestwing provides no insurance, guarantee, reimbursement, or protection program of any kind for a Parcel, and does not guarantee that a Parcel will be accepted, collected, carried, delivered, delivered on time, or delivered at all. A Courier may decline, delay, or abandon carriage at any time. Do not send valuable, fragile, irreplaceable, or uninsured items — Users bear the entire risk of a Parcel’s value and are solely responsible for arranging any insurance. The handoff of a Parcel and the identity of any recipient are the Users’ responsibility; Nestwing is not responsible for misdelivery or for any claim by a recipient or other third party. Any baggage fees, detention, confiscation, fine, penalty, or personal legal consequence arising from carrying a Parcel is the carrying User’s sole responsibility.

9. Assumption of Risk — In-Person Interaction and Travel

9.1 The Platform facilitates in-person contact and travel between individuals. Nestwing does not conduct background checks (except any expressly offered) and does not guarantee the identity, conduct, or safety of any User or Traveler.

9.2 You are solely responsible for your own safety and for evaluating the suitability of any Companion, Seeker, Courier, Sender, or Traveler. Follow the guidance on our Safety page, meet in public where appropriate, and use your own judgment.

9.3 Nestwing is not responsible for medical events, injuries, or emergencies during any trip. Seekers are responsible for ensuring a Traveler’s medical needs are met through appropriate professional means and airline assistance programs.

10. Disclaimers of Warranty

10.1 THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

10.2 We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any User, Listing, Traveler, or Parcel is genuine, safe, lawful, or suitable.

11. Limitation of Liability

11.1 TO THE FULLEST EXTENT PERMITTED BY LAW, NESTWING AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or for personal injury, death, property damage, loss of or damage to any Parcel, or any customs, legal, or governmental penalty — arising out of or relating to the Platform or any User interaction, whether based in contract, tort, or otherwise, even if advised of the possibility.

11.2 Aggregate cap. Nestwing’s total aggregate liability for all claims relating to the Platform will not exceed the greater of (a) the total fees Nestwing actually retained from you in the 12 months before the event giving rise to the claim, or (b) US$100.

11.3 Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you.

11.4 Exceptions. Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for any other liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nestwing and its officers, members, employees, and agents from any claim, demand, loss, liability, damage, fine, penalty, or expense (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your Content; (c) your interaction with any other User or Traveler; (d) any Parcel you send or carry and its contents, carriage, or customs/legal consequences; or (e) your violation of these Terms or any law or third-party right.

13. Suspension and Termination

13.1 You may stop using the Platform and close your account at any time.

13.2 We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms, any risk to other Users or to Nestwing, or as required by law.

13.3 Sections that by their nature should survive termination (including Sections 8–12, 14, and 16) survive.

14. Intellectual Property

14.1 The Platform, including its software, design, and the “Nestwing” name and logo, is owned by Nestwing and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purpose.

14.2 Airline, airport, and other third-party trademarks shown on the Platform belong to their respective owners and are used solely for identification. Their display does not imply affiliation or endorsement. You may not use any trademark without the owner’s consent.

15. Changes to the Platform and Terms

15.1 We may modify the Platform or these Terms at any time. If we make material changes, we will provide notice (for example, by email or in-app). Changes are effective when posted unless stated otherwise. Your continued use after changes take effect constitutes acceptance.

16. Dispute Resolution and Governing Law

16.1 Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules.

16.2 Informal resolution first. Before filing any claim, you agree to contact us at support@nestwing.co and attempt to resolve the dispute informally for at least 30 days.

16.3 Binding arbitration. Any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its rules, rather than in court, except that either party may bring a qualifying claim in small-claims court. You and Nestwing waive the right to a jury trial and to participate in a class action.

16.4 If arbitration is found not to apply, the exclusive venue for disputes is the state and federal courts located in the State of Texas, and you consent to their jurisdiction.

17. Miscellaneous

17.1 Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Nestwing regarding the Platform.

17.2 Severability. If any provision is unenforceable, the rest remains in effect.

17.3 No waiver. Our failure to enforce a provision is not a waiver.

17.4 Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
